Terms of Service

By engaging MuphoenixEco as your sourcing, manufacturing, or supply partner, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Service. These terms apply to importers, appliance distributors, water treatment contractors, project channels, wholesalers, local brand owners, and regional agents across the Middle East and Southeast Asia.

If you do not agree to any part of these terms, please refrain from using our services or entering into commercial agreements with MuphoenixEco.

MuphoenixEco provides environmental technology products, smart eco-appliances, and related components. Current categories include residential, commercial, and industrial water treatment systems, sparkling water makers, coffee machines, air purifiers, pet water fountains, replacement filters, and accessories.

All orders are subject to written confirmation by MuphoenixEco. Minimum order quantities, unit pricing, payment terms, and lead times will be specified in each proforma invoice or sales contract. Standard payment terms include a T/T deposit with the balance due before shipment, unless otherwise agreed in writing.

Prices are quoted in USD and remain valid for the period stated in the quotation. Any tariffs, import duties, or local taxes are the buyer's responsibility unless explicitly included in the agreed Incoterms.

Products are manufactured according to the technical specifications confirmed for the applicable order and are subject to end-of-line testing. We provide warranty coverage for manufacturing defects, with terms varying by product category and cooperation model. Warranty claims require documented evidence and are subject to inspection.

The buyer is responsible for local certification, installation compliance, and end-user servicing in accordance with the regulations of the destination market.

Estimated production and delivery lead times are provided in good faith based on current factory capacity. While we make every effort to meet agreed schedules, MuphoenixEco is not liable for delays caused by force majeure events, port disruptions, customs holds, or other circumstances outside our reasonable control.

Risk transfers to the buyer according to the agreed Incoterms, typically FOB or CIF, upon shipment from the designated Chinese port.

MuphoenixEco retains all rights to its patents, product designs, technical drawings, brand assets, and proprietary manufacturing know-how. Under OEM/ODM cooperation, custom tooling and branding produced exclusively for the buyer remain governed by the specific agreement signed between both parties.

Reverse engineering, unauthorized reproduction, or transfer of MuphoenixEco designs to competing manufacturers is strictly prohibited.

Both parties agree to maintain the confidentiality of pricing, technical specifications, factory information, customer lists, and any commercial data exchanged during the cooperation. Confidentiality obligations survive the termination of the business relationship for a period of five (5) years.

MuphoenixEco's total liability under any order or contract shall not exceed the invoice value of the specific goods giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost sales opportunities, or reputational damage.

Either party may terminate the cooperation with written notice in accordance with the terms of the individual sales contract or agency agreement. Termination does not release either party from obligations accrued prior to termination, including outstanding payments, warranty coverage, and confidentiality duties.

These terms are governed by the laws of the People's Republic of China. Any dispute arising from or in connection with these terms shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. International sales are also subject to the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable.

MuphoenixEco reserves the right to update or modify these Terms of Service at any time. Material changes will be communicated to active partners by email or through our official channels. Continued cooperation following such changes constitutes acceptance of the revised terms.
